1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Stringbet Software, LLC ("Stringbet," "we," "us," or "our") governing your access to and use of the website located at stringbet.com (the "Website") and the mobile applications we publish (each, an "App," and collectively, the "Apps"). The Website and Apps are referred to collectively as the "Services."

By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

You must be at least 13 years of age to access or use the Services. By using the Services, you represent and warrant that you meet this age requirement.

3. Description of Services

Stringbet Software provides informational content about our products and services through the Website and may offer software applications and related services (collectively, the "Services"). The Website is primarily informational and marketing in nature and may include a contact form for inquiries. Any custom software development services or paid offerings we provide are governed by separate written agreements or additional terms where applicable.

We reserve the right to modify, update, or discontinue any part of the Services at any time, in our sole discretion.

4. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services
• Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services
• Use any automated means to access the Services for any purpose without our prior written consent
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any App, except to the extent expressly permitted by applicable law
• Reproduce, distribute, publicly display, or create derivative works based on the Services or any content therein without our prior written authorization
• Remove, alter, or obscure any proprietary notices, labels, or marks on or in the Services

5. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if your use of the Services may cause harm, legal risk, or disruption to the Services or others. We may also take reasonable technical and legal steps to prevent unauthorized or abusive use.

Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute terms) will survive any termination.

6. Intellectual Property

All content, features, functionality, software, code, designs, text, graphics, logos, and other materials available through the Services (collectively, "Content") are owned by Stringbet or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Services or any Content, except for the limited right to use the Services in accordance with these Terms.

7. App-Specific Terms

Individual Apps may be subject to additional terms, conditions, or end-user license agreements ("App Terms"). In the event of a conflict between these Terms and any App Terms, the App Terms will govern with respect to that App.

Apps distributed through third-party platforms (such as the Apple App Store or Google Play Store) are also subject to the terms and policies of those platforms.

8. Future Features; Additional Terms (Accounts, Paid Features, and User Content)

Some Services may, now or in the future, include account registration, login functionality, paid purchases or subscriptions, or features that allow users to submit, upload, transmit, publish, or otherwise make available content (such as text, images, or other materials) ("User Content"). If and when these features are offered, the following terms apply:

Accounts. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep your account information updated. We may suspend or terminate accounts, or reclaim usernames, at any time in our sole discretion.

Paid Purchases and Subscriptions. If a Service includes paid features, purchases, or subscriptions, additional terms may apply and will be presented to you at the time of purchase. If you purchase through a third-party platform (such as an app store), your purchase may also be subject to that platform's terms and refund policies.

User Content. You retain ownership of your User Content as between you and us. However, by submitting User Content through the Services, you grant Stringbet Software a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting or display), distribute, display, and otherwise use such User Content solely for the purpose of operating, improving, and providing the Services and related communications.

Your Responsibilities for User Content. You represent and warrant that you own (or have the necessary rights to) your User Content and that your User Content does not violate any law, infringe any third-party rights, or breach these Terms.

Removal and Moderation. We may remove or restrict access to User Content at any time for any reason, including if we believe it violates these Terms or may create legal risk. We do not guarantee we will review or monitor User Content.

9. User-Submitted Information

If you submit information through our contact form or otherwise communicate with us through the Services, you agree that the information you provide is accurate to the best of your knowledge and that you have the right to provide it.

Do not submit sensitive personal information through the contact form or the Website (for example: Social Security numbers, payment card numbers, bank account information, or medical information).

Unless we agree otherwise in writing, communications and materials you submit to us through the Services are not confidential and may be used by us to respond to your inquiry, provide support, improve our Services, or for internal business purposes. Your submission of information is also governed by our Privacy Policy.

10. Feedback

We do not endorse and are not responsible for the content, privacy practices, or terms of any third-party websites or services. Your use of third-party websites and services is at your own risk.

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRINGBET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, STRINGBET DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRINGBET, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF STRINGBET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF STRINGBET FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STRINGBET, IF ANY, FOR ACCESS TO OR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00).

15. Indemnification

You agree to indemnify, defend, and hold harmless Stringbet and its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of any third party.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of Mississippi, and you consent to the personal jurisdiction of such courts.

17. Assignment

You may not assign or transfer these Terms (or any rights or obligations hereunder) without our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

18. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

19. Waiver

The failure of Stringbet to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Stringbet.

20. Entire Agreement

These Terms, together with the Privacy Policy and any applicable App Terms, constitute the entire agreement between you and Stringbet with respect to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.

21. Changes to These Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated "Last updated" date. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.
